1Legal Consultancy - Not a Law Firm

1.1Themis Legal Consulting Proprietary Limited, registration number 2022/730552/07, of 585 Alendale Street, Elarduspark, Pretoria, Gauteng, 0181, is an independent legal consultancy providing commercial and corporate legal advisory services. It is not a firm of attorneys or an attorneys’ practice. Themis does not hold a Fidelity Fund Certificate, operate an attorneys’ trust account, receive or hold client money in trust, conduct litigation or court appearances, or provide services reserved by law for practising legal practitioners where applicable statutory requirements have not been met.

2.1Information on this website is provided for general informational purposes only. It does not constitute legal advice or any other professional advice and should not be treated as a comprehensive statement of South African law or its application to a particular matter.

2.2Legal outcomes depend on the precise facts, documents, contractual wording, applicable law, regulatory environment, timing, commercial objectives and other circumstances. General content cannot substitute for a properly scoped review of a specific matter.

3No Relationship Created

3.1Accessing the website, reading content, downloading material, submitting an enquiry, uploading a document, sending an email, participating in live chat, telephoning Themis or receiving a preliminary response does not by itself create a consultant-client, attorney-client or other professional relationship.

3.2An engagement arises only once Themis has expressly accepted the instruction and the applicable scope of services, fee arrangement and terms of engagement have been agreed.

4No Duty to Act on Unsolicited Material

4.1Themis has no duty to review, act upon, preserve, return or respond within any particular period to unsolicited material unless and until an engagement imposing that duty has been accepted. You remain responsible for all deadlines and for obtaining appropriate assistance in time.

5Confidentiality and Privilege

5.1Themis will handle personal information and confidential business information in accordance with applicable law and agreed confidentiality obligations. However, you should not assume that sending unsolicited information through a public website form automatically creates legal professional privilege, an attorney-client relationship, a fiduciary relationship or a conflict that prevents Themis from acting for another person.

5.2Do not send unnecessary sensitive information, passwords, original documents or information that you are not authorised to disclose.

6Accuracy and Currency

6.1Themis endeavours to present useful and accurate general information but does not warrant that all website content is complete, current, error-free or applicable to every situation. Legislation, regulations, regulator guidance, case law and commercial practice may change without immediate corresponding changes to the website.

7No Guarantee of Outcome

7.1Any description of services, approach, experience or capability is not a guarantee of a particular legal, commercial, regulatory or financial outcome. Themis does not warrant that a particular strategy, clause, negotiation position or governance measure will eliminate all risk. Commercial decision-making necessarily involves risk, and the objective of advice is ordinarily to identify, understand, allocate and manage material risks so that informed decisions can be made.

8Third-Party Information

8.1References or links to legislation, regulators, external websites, platforms, publications or third-party material are provided for convenience. Themis does not control and is not responsible for third-party content, availability, security or privacy practices and does not necessarily endorse any third-party view, product or service.

9Electronic Communications and Fraud

9.1Email and internet communications are not inherently secure. Users must remain alert to phishing, impersonation, altered invoices and fraudulent banking instructions. Any unexpected request involving payment, banking-detail changes, credentials or sensitive information should be verified through an independently trusted channel before action is taken.

10No Trust Account

10.1Themis does not operate an attorneys’ trust account. No person should transfer money to Themis on the assumption that it will be held in trust for a transaction, settlement, escrow arrangement, litigation matter or third party. Payments to Themis must be made only against legitimate invoices or other expressly agreed amounts payable to Themis for its own account.

11Limitation

11.1Use of the website is subject to the Website Terms of Service, including its exclusions and limitations of liability. To the maximum extent permitted by law, Themis accepts no liability for loss arising from reliance on general website content as if it were specific advice or from a failure to obtain appropriate advice for a particular matter.

12Professional Engagements

12.1Where Themis is formally engaged, the professional relationship is governed by the agreed engagement terms, including the agreed scope, assumptions, exclusions, fees, confidentiality arrangements, intellectual-property provisions, liability allocation and other applicable terms. Nothing on the public website expands an agreed scope of work or overrides a written engagement agreement.

13Jurisdiction

13.1The website is primarily directed at South African businesses and organisations. Content is prepared with South African legal and commercial context in mind unless expressly stated otherwise. It should not be assumed to address the law of another jurisdiction.

15Assumption of Risk

15.1By using the website or contacting Themis informally, you acknowledge and accept that reliance on general online content in place of tailored, matter-specific advice carries inherent risk; that you are solely responsible for assessing the suitability of any general information for your own circumstances; and that you assume that risk voluntarily.

16No Fiduciary Duty Absent a Written Engagement

16.1No fiduciary, contractual or delictual duty of care arises from general use of this website, marketing content, or informal or preliminary contact with Themis. A duty of care, and its scope, arises only once, and only to the extent that, a written engagement has been expressly accepted by Themis.

17Time Bar on Claims

17.1To the maximum extent permitted by law, any claim against Themis arising from or in connection with this Disclaimer, the website, or general website content must be instituted within twelve (12) months of the date on which the cause of action first arose, failing which the claim will be permanently barred. This clause does not apply to a claim arising from a separately agreed professional engagement, which is governed by the applicable engagement terms and the ordinary law of prescription.

18Aggregate Liability

18.1Themis’s liability arising from the public website and this Disclaimer, to the extent that liability is not lawfully excluded, is governed by and limited in accordance with the limitation of liability and indemnity provisions of the Website Terms of Service, which are incorporated into this Disclaimer by reference.

19No Personal Liability of Representatives

19.1No director, employee, consultant or representative of Themis assumes personal liability to any person in connection with this Disclaimer or the website. Any claim may be brought only against Themis Legal Consulting Proprietary Limited.

20Interpretation and Severability

20.1In this Disclaimer, headings are for convenience only and do not affect interpretation, and the words “include”, “includes” and “including” are not words of limitation. If a provision of this Disclaimer is found by a competent authority or court to be invalid, unlawful or unenforceable, that provision will be severed to the minimum extent necessary and the remaining provisions will continue in full force and effect.

21Governing Law

21.1This Disclaimer is governed by the laws of the Republic of South Africa and, subject to any mandatory statutory forum, disputes are subject to the jurisdiction of the South African courts.
